1. Agreement to these terms
These Terms and Conditions ("Terms") apply to your use of the website at sharpimagingsolutions.com (the "Website") and to all quotes, orders, products and services provided by Sharp Imaging Solutions LLC ("Sharp Imaging Solutions," "we," "us" or "our"). By using the Website, requesting a quote, placing an order or accepting a delivery or service, you agree to these Terms. If you are acting for a company or practice, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, please do not use the Website or place an order.
A signed quotation, purchase agreement or service agreement between you and us takes priority over these Terms where the two differ.
2. Who we sell to
Our products and services are intended for businesses and licensed professionals, including hospitals, imaging centers, physician, chiropractic and veterinary practices, and equipment dealers. X-ray and radiation-emitting equipment may only be purchased, installed and operated by persons and facilities authorized to do so under applicable federal, state and local law.
3. Product information, errors and omissions
We try to describe products, specifications, photos, availability and prices accurately. However, the Website may contain typographical errors, inaccuracies or omissions, including in product descriptions, part numbers, specifications, images, pricing and availability. Manufacturer specifications are provided for reference and may change without notice.
We reserve the right to correct any error, inaccuracy or omission, and to change or update information at any time without prior notice, including after an order has been submitted. If a product is listed at an incorrect price or with incorrect information, we may cancel or refuse the order, or contact you before shipping to confirm the correct price or details. If your payment has already been processed for an order we cancel, we will refund the amount charged.
Product photos are for illustration and may show optional accessories or configurations not included in the listed item. Brochures and specification sheets are provided for reference only.
4. Quotes and pricing
- Prices shown on the Website are in U.S. dollars and do not include sales tax, shipping, freight, rigging, installation, or site preparation unless stated.
- Written quotes are valid for 30 days from the quote date unless the quote states otherwise, and are subject to product availability.
- Items marked "Price on request" are quoted individually based on your configuration and site requirements.
- Discount codes are issued at our discretion, apply only to the products and period stated, and cannot be combined unless we agree in writing.
5. Orders and payment
An order is accepted only when we confirm it in writing or ship the product. We may decline or cancel any order, for example if a product is unavailable, information is incorrect, or we cannot verify the order.
Online payments are processed by third-party payment providers such as Stripe, PayPal or Square. We do not receive or store your full card details. Your use of a payment provider is also subject to that provider's terms and privacy policy. For quoted orders, payment terms are as stated on the quote or invoice, which may include a deposit of 50% before ordering or scheduling installation. Past-due balances may be charged interest of 1.5% per month or the maximum allowed by law, whichever is less.
6. Shipping, delivery and risk of loss
Delivery dates are estimates. Unless otherwise agreed in writing, products ship FOB our shipping point, and risk of loss passes to you when the product is delivered to the carrier. Please inspect all deliveries on arrival and note any visible damage on the carrier's delivery receipt, then notify us within 2 business days. Title passes to you when we receive payment in full.
7. Returns, cancellations and restocking
- Unused, new products in original packaging may be returned within 30 days of delivery with prior return authorization from us. A restocking fee of 15% may apply.
- The following are not returnable unless defective: special-order items, installed or used equipment, software and licenses, opened sterile or hygiene items, custom-sized radiation protection garments, and items marked final sale.
- Orders for special-order or custom-configured equipment cannot be cancelled after we place the order with the manufacturer, except as we agree in writing.
- Return shipping is your responsibility unless the product was shipped in error or arrived defective.
8. Warranties
New products are covered only by the manufacturer's warranty, which we pass through to you where permitted. Pre-owned and refurbished equipment is covered by the warranty stated on the product listing or quote; if no warranty is stated, it is sold "as is." Workmanship on installation and service performed by us is warranted for 90 days from completion.
Except as expressly stated above, products and services are provided without any other warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, to the extent permitted by law.
9. Detector drop/unrepairable coverage
Where purchased, drop/unrepairable coverage applies only to the detector and term listed on your order. If a covered detector is found to be unrepairable, a deductible of $3,000 applies and the replacement detector will be of a similar type. Coverage does not include loss, theft, intentional damage, or damage from unauthorized repair. Full coverage terms are provided with your order.
10. Installation, service and site requirements
You are responsible for site readiness, including electrical power, structural support, shielding, network access, and any construction or permits, unless our quote states otherwise. Service is scheduled based on availability. Time and materials beyond the quoted scope, including delays caused by site conditions, will be billed at our current rates after we notify you.
11. Regulatory compliance
You are responsible for meeting all laws and regulations that apply to purchasing, owning, registering, installing and operating X-ray and radiation-emitting equipment, including FDA requirements, state radiation control program registration and inspection, shielding plans, and physicist testing. Equipment must be operated only by properly trained and licensed personnel in accordance with the manufacturer's instructions. Radiation protection garments must be selected, inspected and used according to your facility's radiation safety program.
12. Limitation of liability
To the fullest extent permitted by law, Sharp Imaging Solutions will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or use of equipment, arising from the Website, products or services. Our total liability for any claim will not exceed the amount you paid us for the product or service giving rise to the claim.
13. Indemnification
You agree to defend, indemnify and hold harmless Sharp Imaging Solutions and its owners, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your misuse of products, your failure to comply with applicable laws or operating instructions, or your breach of these Terms.
14. Website use, intellectual property and trademarks
The Website content, including text, layout and images created by us, belongs to Sharp Imaging Solutions or its licensors. You may view and print pages for your own business use but may not copy, republish or sell Website content without our written permission.
Canon and CXDI are trademarks of Canon Inc. Vet-Ray is a trademark of Sedecal. All other product names, logos and brands are the property of their respective owners. Their use on the Website is for identification only and does not imply endorsement beyond our dealer relationships.
15. Third-party websites
The Website links to third-party sites, such as our store on X-Ray Marketplace and payment providers. We are not responsible for the content, policies or practices of those sites, and purchases made there are also subject to their terms.
16. Privacy
Information you send us through quote, order or service requests is used to respond to you and fulfill your request. We do not sell your personal information.
17. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Florida, and you consent to their jurisdiction.
18. Changes to these terms
We may update these Terms at any time by posting the revised version on the Website with a new "Last updated" date. The Terms in effect when you place an order apply to that order.
